Decor Service / Rental Reservation: We require a non-refundable 50% retainer, a signed contract, and a signed credit card authorization form to reserve your date. Your reservation is not guaranteed until we have received all of these items. Once we send you the contract, there is a 7-day courtesy hold to sign and pay. The balance is then due 14 days prior to your event date (unless otherwise stated). If the rentals/services are being reserved within 3 weeks of the event date, a 100% non-refundable retainer and signed contract, and signed credit card authorization form are required to reserve your date. The contract is binding when signed by the Client and Forever Flower Events LLC has received the signed contract. The Client authorizes Forever Flower Events LLC to securely store credit card information for the cost of overtime/delayed pick-up, last-minute add-ons, lost, damaged, and/or stolen items, and any fees associated with such etc. (will be shredded after items have returned properly). If the Client does not provide the signed credit card authorization form, Forever Flower Events LLC reserves the right to not provide the rentals/services and no refund will be issued due to breach of contract. If payment does not go through or is canceled, a 10% fee will be assessed on the total amount for every 7 days that it is not paid. Also, Forever Flower Events LLC and its representatives reserve the right to take and use any photos or video of the event for its own purpose.
Payments: The available payment options are as follows: 1) Check/M.O. made out to Forever Flower Events LLC (). 2) Debit/Credit Card (click on invoice link – includes approx. 3.3% processing fee). 3) ACH (click on invoice link – includes approx. 3% processing fee). 4) Cash (schedule an appointment at our office during normal business hours). 5) Cash App. 6) Zelle
Proposal and Pricing Validity: All proposals and pricing provided by Forever Flower Events are valid for a limited time as specified in the proposal or invoice. If the client does not confirm the proposal by making the required deposit within the stated time frame, Forever Flower Events reserves the right to provide a revised proposal. This may include adjustments to pricing, availability, and scope of services, reflecting any changes that may have occurred since the original proposal was issued.
The client acknowledges that any delay in confirming the proposal and making the deposit could result in changes to the availability of services or materials, and agrees to accept the terms of any revised proposal issued under these circumstances.
Order Revisions: With regard to any subsequent adjustments wanted by the Client, Forever Flower Events LLC must approve and the Client must sign the revised contract to take effect. Furthermore, all adjustments and order details (room/space diagrams, load-in & parking details, color confirmations, final counts, etc…) must be solidified no later than 14 days prior to the event date. If the Client does not sign the revised contract, the requested revisions will not be delivered/executed. Two order revision processes are included with your reservation of our rentals/services; after that, it is $50 per revision process. Order preparations begin 14 days prior to event dates; so, any changes made within 14 days of your event may cause issues with our logistics and scheduling. Any order revisions made within 14 days of your event will incur a $200 fee. It is recommended to save one order revision process to be used 3-4 weeks out from your event date. While you are allowed to make multiple changes within an order revision process, we also have a 10% Grace Policy. Our 10% Grace Policy allows up to 10% of your originally contracted rentals to be reduced. Anything beyond 10%, there is no balance reduction. Both policies are in effect from the time of signing the contract. For example, if you’d like to remove bulk draping or ceiling draping, only 10% of the rental cost will be removed from your order. Similarly, if you have a chair count of 120 and your count drops to 80, only the balance for 12 chairs will be able to be reduced from your order. This policy is in place since we have limited inventory and specially trained crew available, which may have caused us to turn away events due to the items/services in your reservation.
Site Preparation & Deliveries: The Client agrees to have the event site prepared for the installation and delivery prior to our crew’s arrival. This includes, but is not limited to, clearing of all obstacles of any kind, mowed grass, tables prepped, gate codes provided, doors unlocked, etc… If the site is not ready when the crew arrives, additional charges may apply in respect to the delay and/or additional difficulties with the delivery/installation. Please note: if the event site or location is not ready for any delivery and/or installation during the prescribed time, Forever Flower Events LLC crew will not wait during the delay and will drop off rental items for you to set up. If we are not able to drop off the items and must leave, the Client will be billed for another delivery/service fee to come back out. If we are unable to come back for whatever reason, such as needing to deliver/set up other events, etc… no refund to be given due to breach of contract (clause 4, line 1). The Client is responsible for providing a room/space diagram 14 days prior to their event date. The room diagram must provide all information regarding where the Forever Flower Events LLC crew will be placing the rental items (including chair count per table). Due to potential logistical issues, no last-minute set up changes can be made on site. If we are able to accommodate last minute changes and/or rearranging already set rental items (such as tables/chairs), this will result in an additional fee (charged to the credit card on file). Once the crew sets up according to the room diagram provided, the Client is responsible for the rental items until the pick up.
Draping: Upon reserving our draping services, the Client agrees not to hang/pin/puncture and/or attach any foreign object(s) to drapes or equipment that has the potential to damage, rip, tear, or stain the drapes. The Client agrees that themselves, their guests, and their service staff will not move, pull, or walk through any draping or equipment. Such actions can result in the draping/structure to fall down, and can result in personal injury, destruction of property and/or equipment. The Client is liable for any such damages to our property, the venue’s property, and/or bodily injury resulting from non-compliance from themselves, their guests, and their service staff. The Client agrees to be liable for the full replacement cost of any damaged draping and/or equipment due to water, fire, wax, gum, stains, rips, drawing/writing, pinning, etc.
Rentals: The Client shall only have the rights to use the rental items in accordance with the terms of this agreement. The rental items shall not be removed from the place of delivery or installation without the express written permission and acceptance of Forever Flower Events LLC. The Client may not sublease or loan Forever Flower Events LLC’ rentals without written permission and approval from Forever Flower Events LLC. Forever Flower Events LLC shall at all times have the right to enter any premises where the rental items may be located for purposes of inspecting it, observing its use, or removing it from the Client’s premise. If the rental items become unsafe or in disrepair for any reason, the Client agrees to discontinue its use and to notify Forever Flower Events LLC immediately. The Client must first give immediate notice to Forever Flower Events LLC to allow for the opportunity to fix or replace the item. If Forever Flower Events LLC is given notice, but is not able to fix or replace the item, then a refund for the specified item will be given. If no notice is given, then no refund will be given. Forever Flower Events LLC is not responsible for any incidental or consequential damages caused by delays or otherwise, and the Client hereby waives any right or entitlement thereto. There are no warranties of merchantability or fitness, either express or implied. The Client is aware that there is no warranty that the rental items are suited for the Clients intended use. Given that these are rental items, the Client acknowledges that the rental items may not be free from defects, blemishes, scratches, and/or normal wear and tear from previous uses, but these will not affect their intended use. At the expiration of this contract, or sooner upon Forever Flower Events LLC’ demand, the Client promises to make available for pick up by Forever Flower Events LLC at the time specified in the contract, in the condition and repair as when delivered to the Client, subject only to reasonable wear and tear. Time is the essence in this agreement, if the event end time is determined as 10pm and the Client wishes to extend their event, Forever Flower Events LLC has the right to pick up at the originally scheduled time regardless of the Client’s wishes to extend their time. Any extension of time needed for rentals must, at the Client’s election, be approved by Forever Flower Events LLC and additional fees may apply. Please refer to sections 12 and 13 for unplanned overtime and late night pick up fee details.
Abuse: At no time and under no circumstances shall any of our staff (office and/or event crew) tolerate abusive, violent, destructive, menacing, or harassing behavior from the Client, Client’s family/guests, or Client’s other vendors/associates, or any party acting on their behalf. If such behavior does occur, we reserve the right to cancel the order/services. No refunds will be given due to breach of contract.
Client Responsibilities: The Client shall provide Forever Flower Events LLC and their affiliates with safe and appropriate working conditions. Client shall be responsible for themselves, their guests, and the vendor/service staff’s behavior. If there is any destruction or loss of Forever Flower Events LLC’ equipment or property at the event, the Client accepts full responsibility and is liable for any damages, injuries, or delays that may occur as a failure to comply with this provision. Responsibility for the condition of all equipment as well as the liability as previously stated remains with the Client from the time of delivery until the time of pick up. The Client agrees that all equipment items of Forever Flower Events LLC will be secured when not in use and protected from the weather and possibility of damage and theft. The Client agrees to be liable to the full replacement cost as well as loss of use of/from any damaged equipment, property, and bodily injury from the course of the event and its guests. Replacement costs will be due in full within 7 days of the event date. A 10% penalty fee of the replacement cost will be added for every 7 days from the date of specified loss until paid in full. All collection fees including reasonable attorney’s fees, court costs, or any other expense involved in the collection of rental charges of the value of lost, damaged, or destroyed equipment/items of Forever Flower Events LLC, will be the Client’s sole responsibility. The Client agrees to indemnify and hold Forever Flower Events LLC harmless from any liability for personal injury and/or damages arising out of any use of Forever Flower Events LLC equipment/items/rentals. The Client understands and assumes the risk and liability associated with damage and/or injury to the Client, their guests, vendors/service staff, and the venue resulting from and/or associated with Forever Flower Events LLC and its staff in connection with the supply and installation of such equipment/lighting/draping/décor/rentals. Example: Client is aware that up lights are placed on the ground and can be a tripping hazard. The Client is responsible for ensuring ample space for table/chair placement and walking areas safely away from where the up lighting will be placed. It is ultimately the Client who wants the up lights to be placed in these locations that can be a hazard and thus the Client is liable for any injuries/damages. If a guest, vendor/service staff, and/or venue sues Forever Flower Events LLC, the Client will be liable for any legal fees and damages/judgements awarded to said guest, vendor/service staff, and/or venue and will be paid/reimbursed immediately to Forever Flower Events LLC. Even though up lights were used as an example, many other items, such as pipe & base, draping, tables, chairs, rentals, decor, etc… also apply. A 10% penalty fee will be added to any legal fees as well as any court ordered damages/judgements awarded for every 30 days not paid in full past the judgement date. Forever Flower Events LLC highly recommends the Client purchase Event/Wedding Insurance.
Delivery, Set Up, and Breakdown: It is the Client’s responsibility to provide Forever Flower Events LLC with all details regarding parking, loading/ unloading, and delivery specifications. Larger rental items may require larger service elevators or special accommodations. Forever Flower Events LLC does not use stairwells for deliveries/pick ups so the use of ramps and appropriately sized elevators are required for delivery/ pick up purposes. If the specified requirements are not met, Forever Flower Events LLC may not be unable to fulfill the order/services. No refund will be given due to breach of contract. Forever Flower Events LLC standard delivery fee reflects delivery to easily accessible locations; such as, but not limited to, on ground level, readily available delivery vehicle parking/delivery spot that is also in close proximity to load in, large service elevator, etc… Additional fees can be assessed for deliveries that are not clearly communicated as difficult and/or remote locations, which includes but is not limited to: inaccessible and/or undersized elevators to accommodate rental items, non-first floors, inaccessible pathways and walkways (i.e., back yards, beach/sand, mud, decks, no ramps, etc.) resulting in loading/ unloading difficulties and delays.
The Client will email no later than 14 days prior to the event with the set up and breakdown availability. The Client will ensure ample amount of time is provided for Forever Flower Events LLC’ crew for delivery, set up, and breakdown. If there is limited time for delivery, set up, and breakdown, there will be an additional fee. Regarding unplanned overtime for delivery, set up, and/or breakdown, there will be an additional charge of $150 per crew member per hour of delay. Forever Flower Events LLC will provide the Client with an emailed invoice for any additional charges required. If the invoice is not paid within 7 days, the credit card on file will be charged. Forever Flower Events LLC will do its best to accommodate Client’s delivery requests; however, delays and changes in schedule are sometimes unavoidable. In the event there is a change in the scheduled delivery and/or breakdown, both parties agree to communicate said changes. All items will be delivered and picked up at the designated event site or location.
Late Night Pick Up: A “Late Night Pick Up Fee” will be assessed for events ending after 10pm. The price will vary depending on the pick up time and number of crew members needed for your event pick up.
Warehouse Pick Up & Drop Off: The Client is responsible for loading and unloading rental items to and from their vehicle. Please be sure to bring any necessary equipment; such as, straps, covers, proper sized and appropriate vehicle, and enough manpower, etc. when picking up and returning rental items. Forever Flower Events LLC will bring the rental items to the front door or loading dock as specified by Forever Flower Events LLC. However, due to the liability Forever Flower Events LLC cannot assist you in loading and unloading rental items in any way. The Client is responsible for returning the rental items on the mutually agreed date and specified times as stated in the contract and/or agreed upon in writing. If your rental items are not returned by the agreed upon date, your credit card on file will be charged the full rental fee for everyday the rental items are not returned (unless otherwise agreed upon and in writing). If an extension is needed, it must be agreed upon and in writing. The Client shall be responsible for all loss and/or damage to the rental items from the time of pick up from Forever Flower Events LLC until returned to Forever Flower Events LLC. If the rental items are returned in a damaged or excessively worn condition, the Client shall pay Forever Flower Events LLC the reasonable costs of repair or replacement (see section 18 for details).
Events affected by Government or Weather (Force Majure): Such as natural disasters, unforeseen government actions, and any other unforeseeable event or circumstance the Client acknowledges that in the case that an event is adversely affected or canceled due to such issues, the monies paid are non-refundable. In such circumstances, Forever Flower Events LLC will allow for a re-scheduling or a credit towards a new event within one year of the original date depending on availability.
Additional Weather Clause: If your event is located outside, the Client is expected to have a back-up plan in case of any inclement weather conditions that may affect any aspects of the event; including our rentals and services. Forever Flower Events LLC must be provided with notice 48 hours in advance of any load in and/or layout changes due to rain/inclement weather conditions. There are no refunds given for rain/inclement weather cancellations as it is expected that the Client has an indoor or tented backup plan for adverse weather. If however, the conditions are so severe (such as a hurricane) where the venue is forced to close down, we will offer a transfer to a new date within one year of the original date, as long as we have availability for the new date. No refunds are to be given for such scenarios.
Lost, Damaged, or Abused Items: The Client agrees to pay for any missing and/or damaged rental items and will be billed at replacement cost. The Client also agrees to pay a reasonable cleaning charge for any and all rental items returned excessively dirty (glitter, dirt/mud, rain damage, wax, etc.). The Client understands that all charges are subject to final audit. The Client authorizes additional charges or credits to be made to their account. If the rental items are damaged, stolen, missing, or etc., the Client acknowledges that the replacement cost is due within 7 days of the invoice. Forever Flower Events LLC will provide the Client with an emailed invoice for any additional charges required. Accrued rental charges cannot be applied against the purchase or cost of repair of damaged goods. The Client agrees to pay Forever Flower Events LLC upon demand all rates, charges taxes, fuel, delivery, pick up and reservation cancellation fees and all other amounts incurred as a result of this rental/service transaction. The Client authorizes Forever Flower Events LLC to securely store credit card information for the cost of repair and/or replacement of damaged, stolen, missing rental items. If the invoice is not paid within 7 days, the credit card on file will be charged. Also, if payment does not go through or is canceled, a 10% penalty fee of the replacement cost will be added for every 7 days from the date of specified loss until paid in full.
Order Agreement: This Agreement shall not be modified except as per writing approved by Forever Flower Events LLC and signed by the Client. Any agreement alterations must be requested by the Client in writing. The requested alterations will not be made unless approved by Forever Flower Events LLC and signed by the Client. This Agreement shall be interpreted in accordance with Florida law only and Client hereby agrees to personal and subject matter jurisdiction in the Hillsborough County court regarding a resolution of any dispute(s) arising hereunder. The Client shall defend, indemnify and hold harmless Forever Flower Events LLC its employees, agents and subsidiaries, from and against all claims, liabilities, losses, claims of personal injury, damages to property or otherwise, and expenses, of every character whatsoever, resulting from the actions, negligent or otherwise, of the Client or its agents, employees or subcontractors or anyone acting on the Client’s behalf. The indemnities included in this exhibit shall include reasonable attorney’s fee paid by Forever Flower Events LLC in defending suits and actions involving liability covered by the indemnification provision in this paragraph.
